Chapter 11 - The Boardroom Coup

They escaped through the rear staircase.
Trevor had a shallow cut across his temple.
Emma's palms were bleeding from broken glass.
Luca didn't seem to notice the wound in his shoulder until they reached the alley.
“You're hit.”
“Grazed.”
“That's still hit.”
Police sirens approached.
Trevor grabbed Emma's laptop bag.
“We need to separate the archive.”
“No.”
“If they get one device, we lose everything.”
Luca nodded.
“He's right.”
They copied the encrypted files onto three drives.
Trevor took one.
Emma kept one.
Luca sent another copy to a secure federal contact.
Richard called.
His voice was frantic.
“Where are you?”
Emma answered.
“Near Dearborn.”
“Get to Caldwell Meridian.”
“Why?”
“Martin called an emergency board meeting.”
Trevor swore.
Richard continued.
“He's trying to remove me as president.”
Emma looked at Trevor.
“When?”
“Forty minutes.”
“On what grounds?”
“Financial misconduct.”
Trevor laughed.
“He's using Charles's money trail.”
Richard said, “What?”
Emma understood.
“They made the fraud look like yours.”
Silence.
Then Richard whispered, “Yes.”
Caldwell Meridian's boardroom was full when Emma entered.
She still wore clothes stained with dust and blood.
Every director looked at her.
Martin sat at the far end.
Richard stood beside the window.
Victoria had a stack of documents in front of her.
Martin smiled.
“Ms. Reed.”
Emma hated his calmness.
“You seem to keep finding your way into meetings where you don't belong.”
Emma placed the laptop on the table.
“That's what people said during my interview.”
Several directors exchanged looks.
Martin turned toward the chairman.
“This woman is not an employee.”
Richard said, “She is here at my request.”
“You are currently the subject of this hearing.”
“And you're currently under investigation.”
Martin laughed.
“By whom?”
The doors opened.
Two federal agents entered.
Martin's smile disappeared.
Luca walked behind them.
His shoulder had been bandaged.
Emma looked at him.
He nodded once.
The federal copy had arrived.
Martin stood.
“This is outrageous.”
One agent spoke.
“Martin Hale, please remain seated.”
“Am I under arrest?”
“Not yet.”
That word changed the room.
Emma connected her laptop to the board display.
Martin looked toward her.
“What is that?”
“My father's archive.”
His face changed.
Just slightly.
Emma saw it.
So did Victoria.
Martin recovered.
“I have no idea what you mean.”
Emma played the footage.
The room watched Martin tamper with the glasses inside Jonathan Caldwell's study.
Watched Jonathan collapse.
Watched David collapse.
Martin's face went gray.
“This video is fabricated.”
Then Emma displayed financial ledgers.
Emails.
Payments.
His signature.
Approvals.
Offshore accounts.
Victoria explained the accounting structure.
Richard explained his father's blackmail.
Luca explained Matteo's role.
Martin stopped denying.
Instead, he smiled.
“You think this ends with me?”
Emma looked at him.
“No.”
For the first time, fear appeared in his eyes.
Martin realized she knew.
She displayed Charles Reed's photograph.
“This man is the architect.”
Several older board members reacted.
One whispered:
“Charles?”
Emma turned.
“You know him?”
The board member looked sick.
“He died.”
“No.”
Richard stared.
“You met him?”
“Thirty years ago.”
The man pointed toward the photograph.
“He helped structure Caldwell Meridian's first European financing.”
Emma felt the room shift.
Charles had not infiltrated Caldwell.
He had been there before most of them.
The federal agents moved toward Martin.
He suddenly grabbed Victoria.
A penknife appeared against her throat.
Everyone froze.
“Back away.”
Richard stepped forward.
“Martin.”
“Don't.”
Emma watched his eyes.
He wasn't looking toward the main doors.
He was looking toward the service exit.
She understood.
“He won't help you.”
Martin's eyes snapped toward her.
“Charles.”
Emma continued.
“He sent someone to kill us this morning.”
“You're lying.”
“He doesn't need you anymore.”
Martin's grip weakened.
“You don't know him.”
“I know he left my father to die.”
Martin's face changed.
Emma took one step closer.
“And I know people like Charles don't save witnesses.”
Victoria suddenly drove her heel backward into Martin's shin.
He stumbled.
Luca moved.
Federal agents tackled him.
The knife clattered away.
Martin screamed as they cuffed him.
“You don't understand!”
Emma stood over him.
“Then explain.”
Martin looked toward the board.
Fear broke through completely.
“Charles isn't leaving Chicago.”
“Why?”
Martin laughed wildly.
“Because tomorrow, Caldwell Meridian signs the Vettori acquisition.”
Richard frowned.
“The deal is suspended.”
“No.”
Martin stared at him.
“You think the Italian side knows that?”
Emma's blood went cold.
The mistranslations.
The altered liability clauses.
Matteo.
Samuel Price.
Martin continued.
“Once the contract closes, Orpheus triggers its debt conversion.”
Victoria turned white.
“What debt conversion?”
Martin smiled.
“The one your auditors never found.”
She rushed to her laptop.
Seconds later:
“Oh my God.”
Richard leaned over.
“What?”
Victoria whispered:
“If the Vettori deal closes under the current documents, Orpheus Strategic Holdings gains conversion rights over Caldwell's European debt.”
“How much?”
“Enough to take voting control.”
The room went silent.
Charles wasn't merely stealing from Caldwell Meridian.
